1. Acceptance of Terms

Welcome to ZylixSoft ("we," "our," or "us"). By accessing or using our website zylixsoft.com or any of our software products (including School ERP, College ERP, Chat Automation Platform, and related services), you agree to be bound by these Terms & Conditions.

If you do not agree to these terms, please do not use our services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of the revised terms.

2. Description of Services

ZylixSoft provides the following software services:

  • School / College ERP: A comprehensive management platform for educational institutions covering admissions, fees, attendance, academics, and more.
  • Chat Automation Platform: A tool that enables businesses and institutions to automate conversations on Facebook Messenger, Instagram Direct Messages, and WhatsApp Business — similar to services like ManyChat.
  • WhatsApp Business API Integration: Automated messaging, broadcasts, and customer engagement via WhatsApp.
  • Additional Services: Any other products or features we may introduce from time to time.

3. User Accounts & Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must be at least 18 years old or have parental/guardian consent to use our services.
  • You agree to notify us immediately of any unauthorized use of your account at support@zylixedu.com.
  • ZylixSoft reserves the right to suspend or terminate accounts that violate these terms.

4. Meta / Facebook Platform — Special Terms

When you connect your Facebook Page, Instagram Business Account, or WhatsApp Business Account to ZylixSoft's Chat Automation Platform, the following additional terms apply:

  • You confirm that you are the authorized owner or administrator of the Facebook Page / Instagram account you are connecting.
  • You grant ZylixSoft permission to access your Pages, read and send messages, manage subscriptions, and perform automation tasks on your behalf as per the permissions you approve via Facebook Login.
  • You agree to comply with Meta's Advertising Policies, Meta Platform Terms, and WhatsApp Business Policy.
  • You are solely responsible for the content of messages sent via our platform. ZylixSoft is not liable for any violations of Meta's policies caused by your message content.
  • You must not use our Chat Automation Platform to send spam, unsolicited messages, or content that violates Meta's Community Standards.
  • You can revoke ZylixSoft's access to your Facebook/Instagram account at any time via Facebook Business Integrations Settings.
  • ZylixSoft does not guarantee uninterrupted access to Meta's APIs, as service availability is subject to Meta's platform decisions and policies.

5. Acceptable Use Policy

You agree NOT to use our services to:

  • Send spam, bulk unsolicited messages, or promotional content without recipient consent.
  • Violate any applicable local, state, national, or international law or regulation.
  • Impersonate any person or entity or falsely represent your affiliation.
  • Transmit any content that is harmful, abusive, racist, hateful, obscene, or defamatory.
  • Attempt to gain unauthorized access to our systems, other user accounts, or third-party platforms.
  • Use our services for any unlawful purpose, including phishing or fraud.
  • Reverse engineer, decompile, or attempt to extract source code from our software.
  • Resell or sublicense our services without prior written consent from ZylixSoft.

Violation of this policy may result in immediate account suspension or termination without refund.

6. Subscription & Payments

  • Our services are offered on a subscription basis (monthly/annual plans as applicable).
  • All prices are in Indian Rupees (INR) unless stated otherwise, and are inclusive/exclusive of GST as mentioned on the pricing page.
  • Subscription fees are billed in advance. Failure to pay may result in service suspension.
  • ZylixSoft reserves the right to change pricing with 30 days' prior notice.
  • By making a payment, you confirm that you are authorized to use the payment method provided.

7. Refund Policy

  • Subscription fees are non-refundable once a billing cycle has started.
  • In case of a technical error resulting in a duplicate charge, a full refund will be issued within 7 business days.
  • Free trial users are not charged. No refund claims apply during trial periods.
  • To raise a refund request, email support@zylixsoft.com within 7 days of the charge.

8. Intellectual Property

All content, software, branding, logos, and materials on ZylixSoft's platform are the exclusive intellectual property of ZylixSoft and are protected by applicable copyright, trademark, and IP laws.

  • You are granted a limited, non-exclusive, non-transferable license to use our software solely for your internal business/institutional purposes.
  • You may not copy, modify, distribute, sell, or create derivative works from our platform without written permission.
  • Any feedback or suggestions you provide to us may be used by ZylixSoft without any obligation to compensate you.

9. Data Ownership

You retain full ownership of all data you upload or generate through our platform (e.g., student records, contact lists, message templates). ZylixSoft acts only as a data processor on your behalf and does not claim ownership of your data.

Upon account termination, you may request an export of your data within 30 days. After this period, data may be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, ZylixSoft shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from your use of our services.
  • Loss of data, revenue, or business opportunities due to service downtime or errors.
  • Any actions taken by Meta (Facebook) that affect access to their APIs or platforms.
  • Unauthorized access to your account due to your failure to maintain credential security.

Our total liability in any case shall not exceed the amount you paid to ZylixSoft in the 3 months preceding the claim.

11. Disclaimers

  • ZylixSoft's services are provided on an "as is" and "as available" basis without warranties of any kind.
  • We do not guarantee that our services will be uninterrupted, error-free, or completely secure.
  • ZylixSoft is an independent platform and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. (Facebook).
  • WhatsApp™ and Facebook™ are registered trademarks of Meta Platforms, Inc.

12. Termination

Either party may terminate the service agreement at any time. ZylixSoft may suspend or terminate your account immediately if:

  • You violate these Terms & Conditions or our Acceptable Use Policy.
  • We receive complaints or legal notices related to your use of our platform.
  • Your account is involved in fraudulent or illegal activity.

Upon termination, your right to access our services ceases immediately. Sections on Intellectual Property, Limitation of Liability, and Governing Law shall survive termination.

13. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Greater Noida, Uttar Pradesh, India.

14. Changes to These Terms

ZylixSoft reserves the right to modify these Terms & Conditions at any time. We will notify users of significant changes via email or a prominent notice on our website. Continued use of our services after changes are posted constitutes your acceptance.
